TheInvestorHQ aims to offer our private investor community the opportunity to explore various issuers’ Offerings, with investment amounts ranging from $1,000 to $5,000 per Offering. This investment cap ensures that investors maintain a diversified portfolio and avoid overcommitting to any single issuer.
No company, or “Issuer,” can list on TheInvestorHQ without undergoing a rigorous third-party evaluation process. This includes a preliminary analysis of the Issuer’s business model, a legal review, an audit of financial and accounting documents, and the preparation of materials for the Issuer’s “Offering” page. These materials are presented consistently to facilitate easy comparison for investors.
TheInvestorHQ’s Goal
TheInvestorHQ’s goal is to provide Investors the opportunity to browse various Issuers’ Offerings to invest between $1,000 to $5,000 per Offering. The investment maximum is set so that Investors do not invest too much in a single Issuer.
No company, or “Issuer,” is permitted to list on TheInvestorHQ unless it has engaged in a third-party process, which includes preliminary analyses of the Issuer’s business model; a legal review; an audit of the Issuer’s accounting/financial documents; and preparation of documents/media found on the Issuer’s “Offering” page to provide explanations of matters relating to the Offering, presented in a consistent way to allow investors to easily compare Offerings during their selection process. Nevertheless, this process does not reduce the risk of loss and investors should conduct their own due diligence.
TheInvestorHQ allows each Issuer to choose between one of two investment models:
Revenue Share
Pursuant to Issuer’s Offering Document
- Issuer must escrow a pre-set percentage of its revenue for periodic distributions to Investors, proportional to each Investor’s investment amount, until the distribution to each Investor equals 2.5 times the initial investment.
- The Offering Document contemplates full distribution of the 2.5 times in 2 years (or less), but that time period may be extended based on Issuer’s revenues.
Equity (Nasdaq Direct Listing)
Pursuant to Issuer’s Offering Document
- Issuer embarks on a process to direct list its shares on Nasdaq, while it uses its crowdfunding funds.
- When Issuer direct lists (at least a year from the time of investment), the Investor can sell its shares to the public for the shares’ then-market value.
